How is that going to be possible given the Agreement that has been reached with no franchising or sell off and protections for the next 4.5years?

You only have to work for RM for three years. And 'they' won't actually 'take them back', they would be re-allocated to existing employees.

On a seperate point, in my opinion the share price will be at least £8 in three years time. It only has to rise 10%pa to reach this
I wouldn't be so sure. QE has been pumped into the banking system and has artifically pumped up shares par say. It could all crash down in the future.

Because the agreement is void if RM reasonably believes that certain areas/functions/parts of the company are no longer financially viable. So they decide when and what isn't, tear up the agreement, and sell that part of the company. Hopefully the CWU will react quickly and question it in court, but with a bigger and better paid legal team who do you think will react quicker and more than likely get a decision in their favour.

To confirm I have not yet decided which way to vote.

I agree if Royal is determined to sell off a part of the business and they have already put things in motion, then no amount of court activity is going to reverse the situation... They just have to adequately compensate or find alternative employment with allowances the folks involved - there is where the legal team of the CWU will actually have to earn their crust.

RM can always sell off or turn into subsidiary (eg Angard) and then buy back at a later date and employ people at lower wages...

The thing is like a football chairman giving a football manager a 3 year contract and public backing but further down the line he decides he has had enough or falls out with manager/football in general... I guess Alan Sugar and Terry Venables springs to mind... If the Chairman stops putting money in and/or decided to sell up then the manager will have to go... The Cardiff situation is an interesting one - Chairman wants manager to resign to minimise compensation but manager is no stupid...
