Not if you are made redundant. Not if you retire. Not if you die in service. Not if you retire through sickness or injury. Only if you voluntarily leave for new pastures.

As long as you die standing up, and are on an actual delivery, maybe?

You only have to work for RM for three years. And 'they' won't actually 'take them back', they would be re-allocated to existing employees.

On a seperate point, in my opinion the share price will be at least £8 in three years time. It only has to rise 10%pa to reach this

I once worked for a FTSE100 company whose shares fell from £10+ to nothing in much less than 3 years. Regardless of what we mere mortals do day to day, when people at board level make mistakes they tend to be costly. Saying the share price only has to rise 10% pa is overly optimistic. You may well be right but consider that share prices may already be frothy, RMG plans to payout relatively large dividends rather than invest in expansion or buying back stock. 10% pa is no mean feat in a low interest (currently) environment so don't pin your hopes on £8+. Parcels can only grow the business so much without real growth in the economy.

Even if the share price were to FALL by 10% in each of the next three years, from the level of tonight's closing price (597p), they would still sit at 435p/share. Making the free shares worth around £3150 at that level. (Even those who bought extra shares in the Priority Offer would still be turning a profit at that level).
Also, there's the dividend payments to consider:
13.33p/share for the current financial year (payable in July 2014)
21p/share for 2014/15
23p/share (my guesstimate) for 2015/16

That amounts to dividend payments of £415.64 over the three years. All of it from shares we didn't pay a penny for.

Yes we were given free shares but it is within an incentive plan. Where will the incentive be if you can just quit and take your shares with you. The same is also true if the allow us to sell the shares straightaway - then it would simply have been a bonus.

SIP - is backed by law: it is that simple.

* However, I do feel for you because it will be so nice to one;s hand on the shares especially if one has the plan of quitting soon.

Unfortunately, it is a Golden Handcuff. And it looks like that handcuff will have to stay on me for the next 3 years despite wanting to leave next year...

There is another way to get your free shares early...if the part of the business in which the employee works is sold or transferred.
Just saying. :whistle
good times, bad times you know I've had my share
