Shareholders Vote

Does anyone know if the shareholders have voted for the takeover. If I understand it correctly there has to be a vote and as a shareholder I don't recall ever voting either way. Not that my small amount would make any difference

You should have received voting details back in June.
It might have been via letter or email.

It's possible it already has, but it won't be announced until all the regulatory hoops have been jumped through and they have 75% acceptance for the deal.

Many thanks. Makes sense now. I hope the 75% isn't met as I think the share price should be worth more after offcoms recent announcement

My view is that if the market thought the company is worth more, the share price would be higher than it is.

I suspect a lot of shareholders have already voted in favour and so can't trade them anyway, unless they go to the trouble of changing their choice.

I think the 75% will be met. It's just a case of whether the 90% will be and if so, will KP compulsory purchase the rest?

Do you know if we pay tax on the money we receive if we decided to sell these shares in the takeover, I still have all of my original shares (930) I think ?

It has to be within 14 days of the Unconditional Date (assuming you've already accepted the offer before then).

Bare in mind it could be payment by cheque (or Czech 😉)

Based on info we have, no.

In fact, the Free Shares you have are now exempt from tax/NI anyway, even if you were to sell them today using shareview (dealing charges may apply though so just check)

The voting was paused and no announcent as yet to when it will officially resume or end. You can of course vote anyway with the details already given. Chill.

If you voted to sell your shares (free shares plus some bought privately), can you be held to that? I'm thinking I now want to sell them.

Someone else asked a similar question a few weeks ago, and the answer is yes you can sell them, but you first have to withdraw your acceptance of the deal:
Can I withdraw my acceptance?

• Yes, an accepting shareholder can withdraw their acceptance.
• You may withdraw your acceptance by written notice to Equiniti or, in the case of shares held in uncertificated form (that is, CREST), by sending an ESA instruction to CREST in respect of the relevant electronic acceptances.
• The relevant notification/instruction must be received before the time by which acceptances must be lodged under the offer (and in any event before the date on which the offer becomes unconditional).
• Full details on how to withdraw your acceptance are included in the offer document.
