No. There is no tax payable on SIP shares in the event of a takeover. It was in the booklet when the scheme started.
That's confirmed in these FAQ's released on 30 April:
Will I have to pay tax and NI on my shares in the Royal Mail Share Incentive Plan?

If you are resident and domiciled in the UK you should not have to pay income tax, National Insurance contributions or capital gains tax if you sell your SIP shares direct to EP Group under the terms of the Offer.

If you receive dividends of more than £500 in the 25-26 tax year then you are potentially liable for income tax on those dividends. For more details, see the letter sent to you at the end of June 2024 — note that this is provided as a general guide and does not constitute tax advice.

I received a cheque for my IPO shares as I sent my share certificate in, my staff shares is online with Equiniti I agreed to sell via online portal, is that likely to paid directly into your bank account or as a cheque ?

Payment for the dividend and my nominee shares,via equiniti, in my account this morning. Thanks for everyone's advice and help, especially the excellent Robert T. Good luck to all my former colleagues still within the business because within a couple of years, I think you will definitely need some sadly 😡

Those who bank with Barclays have been paid overnight last night,Possibly because Eqiniti also bank with Barclays,I’m sure all others will see it in their accounts overnight tomorrow,Hopefully

Guys I’m so confused!!
I accepted the offer and today I recieved Money but it was only how much my shares were actually worth not the 380p share offer I accepted do we get it in another payment or has there been a mistake

It wasn't £3.80, the final price was £3.70 including 8p dividend per share.

Yea whatever it was but I haven’t recieved any extra money just how much the shares are not the offer I accepted ??? I’m lost

You should have got £3.60 per share today, 8p dividend per share last week and 2p dividend per share last September. Making a total of £3.70 per share.

So in this post you said you got what your shares are actually worth, which is £3.60 each, but now you're saying you didn't?
