Just need them to delay it a bit.
let's hope we get February's ~27 +2 shares before they pull the plug on the scheme then.

I have 300 shares, worth around £1k, all bought within the last three years through the partnership and matching plan.

What happens to my shares when the takeover is complete?
Do I pay tax if my shares are sold? I didn't accept the offer

You should accept the offer now, there's nothing further to be gained and not accepting it will delay your payment.

When the offer becomes unconditional, which is now a formality, you will receive 8p a share as a dividend, this is subject to tax but every basic rate taxpayer has a £1000pa dividend allowance (40% taxpayers have £500, 50% taxpayers none) so unless you're a high earner or have big dividends from somewhere else it will be tax free.
The rest of the money, £3.60 per share counts towards a potential capital gain, but everyone can make capital gains tax free in these sort of schemes if the company is subject to an unconditional takeover. This takeover will be declared unconditional in the coming days.

Because all other regulatory conditions have been met, bar 1 that is outstanding. Robking is right, that it's imminent and given that no other territory or jurisdiction has objected, chances are this final one, Romania, won't object either.

Then, providing all regulatory conditions have been met, the clock on the offer time limit resumes (remember it was paused since late last summer to allow above regulatory approvals process).
There is then ~28 days (60 days since offer went live in June last year, minus the period the timetable/clock was paused) to meet the 75% offer acceptance threshold (technically, it's the final condition although for all we know it may have already been met!).

Once the 75% threshold has been met, then all conditions have been met and the offer becomes Unconditional. EP Group/IDS have to immediately announce what the Unconditional Date is.
From the point that it becomes Unconditional, you still have at least 14 days to accept the offer if you haven't already done so. EP Group also have to give 14 days notice before the Offer is closed. So they could extend the Offer but only up until 29th August 2025. That's when the Unconditional Offer automatically expires.

Vote outcome scenarios...
At least 75% of voting shares need to have accepted the offer (remember EP Group/Dan! already own 27.6% so that's a large chunk already in the Accept pot) for the Offer to become Unconditional.

EP Group will then delist the stocks from stock exchange and it becomes a Private Company.
Those that choose not to actively Accept the offer will be minority shareholders. So you can't sell your shares on the open market and it also becomes difficult to judge what the market value is (as there's no market really).

If the Accept offers are at least 90% then EP Group have the right to compulsorily purchase the remaining shares at the same price.

When do we get the 360p+8p ?
Within 14 days of the offer becoming Unconditional.

If the sale doesn't go ahead (e.g we we didn't the final regulatory approval or achieve 75% of accepting votes) then we don't get the 8p special share

I take it that is what `Tender Election` means.
Think its imminent so now is the time.

you need the codes they sent out for a log in to accept the sale, the number is posted earlier on to request a new set

I phoned the number for IDS on my share dividend statement for last year.
It was a very thing easy to do, have your pay number ready and the rest are just personal details.
Have your laptop open and they will talk you through it.

Should we read anything into that?

Yes that's very odd, every other purchase was made on the the 15th of the month, or as in the case of this month, on the Monday after if the 15th fell on a weekend. This month they did it a week earlier.
But they haven't told us anything and they've deducted another 2 weeks contributions because this transaction involved payments made up to 31st of Jan.
Something must be imminent.

February update 17/02/25 ( shares this month were actually purchased on 10/02/25.)

31 shares purchased @ £3.652602 + 2 free per £100 gross/monthly investment.

This will probably be the last transaction and any subsequent money will have to be refunded, but who knows? the silence from the company is deafening!

Well! Having set the precedent, Royal Mail has struck again giving us more shares on the 6/3/2025.

March update 10/03/25 (shares this month were actually purchased on 06/03/25)

26 shares purchased @ £3.628917 + 2 free per £100 gross/monthly investment.

Dunno if there is to be any further allocation and if so when. Watch this space.
