Re: PAYDAY!
Ok so can anyone help as to where we are regarding unconditional purchase of all shares. I seem to remember that DK needed to reach 90+% of a shareholding to purchase all remaining shares.
The reason I’m asking is because over the last few days it’s come to light that a number of noddies in the office didn’t accept the offer to have their shares purchased. Not for any other reasons than couldn’t be bothered to deal with it, didn’t understand it etc etc. Now these people are wondering why they haven’t received any money for their shares like the rest of us have, all of a sudden people talking of receiving £3k+ has woken them up. I’ve explained what they needed to have done over the previous few months and that seeing as they haven’t they’ll either be left holding potentially worthless
shares or if DK reaches the necessary % shareholding then they can breathe easier as their allocation will be purchased and they’ll receive payment albeit at a later date than we have.
So any further information that I can pass on is very much appreciated!

Re: PAYDAY!
To buy all remaining shares, DK needs to own 90% of the shares relevant to the offer, which is defined as the ones he didn't already own when the takeover process started.GRS wrote: ↑21 May 2025, 20:15Ok so can anyone help as to where we are regarding unconditional purchase of all shares. Without boring you with the maths, in practice that means he actually needs 92.75% of all issued shares before he can compulsorily purchase the rest.
The last official figures announced saw him at 90.15%.
If it stays below that 92.75% threshold, your colleagues will hold shares in a de-listed company, which will be very difficult to sell in the future. But personally I'd be very surprised if he doesn't get the required percentage to buy the rest.
There are still options for those who haven't done anything:
The offer remains open to accept and that can be done here: https://idsoffer.shareview.info
There will be no commission to pay and all P&M shares will be tax free.
Or, the shares are still trading on the stock market and will be for another week and so can still be sold in the normal way. But commission will be payable and normal rules will apply to P&M shares, meaning some may be forfeited and tax may be payable if they haven't been held for the required amount of time.
